LHH Recruitment Solutions is seeking a highly organized and detail-oriented Corporate Paralegal in Minneapolis, MN to support our in-house legal team on corporate governance, transactional, compliance, and contract matters. This role plays a critical part in maintaining corporate records, supporting business operations, and ensuring ongoing compliance with applicable laws and regulations. The Corporate Paralegal will work closely with attorneys and internal stakeholders across the organization.
Title: Corporate Paralegal
Type: Direct Hire
Location: Minneapolis, MN (Hybrid)
Compensation will vary upon experience:
Entry: $65,000 - $75,000
Mid: $80,000 - $90,000
Senior: $95,000 - $120,000
Key Responsibilities
Support the in-house legal team on corporate governance, compliance, and transactional matters
Maintain and manage corporate records, including entity documents, minute books, resolutions, and organizational charts
Prepare and file corporate documents such as articles of incorporation, bylaws, annual reports, and state filings
Assist with board of directors and committee meetings, including preparing agendas, resolutions, and meeting materials
Draft, review, and manage contracts and agreements, including NDAs, vendor agreements, and service contracts
Track and support compliance with regulatory, statutory, and internal policy requirements
Assist with corporate transactions such as mergers, acquisitions, financings, and restructurings by organizing due diligence and closing documents
Conduct legal research related to corporate law, governance, and regulatory matters
Coordinate with internal departments (finance, HR, operations) and external counsel as needed
Maintain document retention systems and ensure accurate, secure recordkeeping
Provide limited litigation support as needed (document collection, responses to requests, coordination with outside counsel)
Qualifications
Paralegal certificate from an accredited program preferred
2+ years of experience as a corporate or in-house paralegal (law firm corporate experience acceptable)
Working knowledge of corporate law, governance practices, and compliance requirements
Strong contract drafting and document management skills
Excellent organizational skills with high attention to detail
Ability to manage multiple projects and deadlines in a fast-paced environment
Strong written and verbal communication skills
High level of professionalism and discretion when handling confidential information
Experience supporting public company or regulated industry compliance
Familiarity with entity management software and contract lifecycle management tools
M&A, securities, or equity administration experience
Experience working directly with executives and cross-functional business teams
Pay Details: $65,000.00 to $130,000.00 per year
