Legal Assistant – Corporate Practice Group

Location: Wheaton, IL

Work Arrangement: 100% In-Office (Not Hybrid)

Overview

LHH is looking for a Legal Assistant for a law firm for their Corporate Practice Group. They are seeking a highly motivated, detail-oriented Legal Assistant with strong corporate and transactional experience. The ideal candidate is team-oriented, organized, and experienced in supporting attorneys with complex corporate matters, including mergers and acquisitions.


Practice Areas Supported

  • Mergers & Acquisitions (must have)

  • Private Equity

  • Debt Finance

  • Asset Finance & Securitization

  • Private Funds

  • Investment Management


Essential Duties & Responsibilities

  • Assist attorneys with all aspects of corporate and M&A transactions

  • Prepare, organize, and manage deal closings, including:

    • Signature pages

    • Closing certificates

    • Local, state, and federal closing documents

  • Handle pre-closing, closing, and post-closing processes

  • Draft and maintain closing checklists

  • Assemble and execute post-closing documentation

  • File new business formation and dissolution documents

  • Prepare and maintain corporate minute books

  • Draft corporate resolutions and stock certificates

  • Prepare and file qualification and withdrawal applications

  • Prepare and submit statutory filings

  • Prepare and file UCC statements, amendments, and terminations

  • Obtain certificates of good standing and certified copies

  • Complete and file SS-4 forms to obtain EINs

  • Handle dictation and work with dictation equipment (must have)

  • Coordinate with outside vendors

  • Maintain accurate and timely filing of all documents


Skills & Knowledge

  • Experience with corporate and transactional law

  • Familiarity with Westlaw and Lexis (preferred)

  • Some knowledge of SEC filings is a plus

  • Strong organizational, multitasking, and time-management skills

  • Excellent written and verbal communication abilities

  • Ability to maintain strict confidentiality

  • Professional demeanor and client-service mindset


Experience & Qualifications

  • Minimum 8+ years of corporate/transactional legal assistant experience

  • Experience supporting attorneys in a fast-paced corporate environment

  • BA degree preferred


Compensation

  • 8+ years: $70,000

  • 10+ Years: $80,000

(Salary commensurate with experience)

Retirement

  • Profit Sharing Plan:

    • Historically 5% of annual salary over the past 10 years


Paid Time Off (PTO)

  • 5–15 years: 15 vacation days + 5 personal days

  • 15+ years: 20 vacation days + 5 personal days

  • Holidays: Provided per firm calendar

  • Illinois Paid Leave: Applies to part-time employees only
